Persona

Terms of Service

Last updated October 24, 2026

These Terms of Service ("Terms") govern access to and use of Persona (the "Service"), provided by Odinex, Inc., a Delaware corporation, 131 Continental Dr, Suite 305, Newark, DE 19713, USA ("Odinex", "we", "us"). By creating an account, building an agent or using an agent, you agree to these Terms. If you accept on behalf of a business, you confirm you have authority to bind it.

1. The Service and who uses it

Persona is infrastructure that lets businesses, creators and community owners ("Partners") build AI agents that people reach on WhatsApp and Telegram, in their own style and with their own knowledge, for their own audience and customers ("End Users"). The agents can answer questions, remember details, work with files, create images, audio and video, browse the web, run code, and run tasks on a schedule or when another service calls them through a webhook. With permission, they can take actions through services connected to them (Section 8). A "Partner Agent" is an agent a Partner builds and offers on Persona. "Content" means everything submitted to or produced through the Service.

You must be at least 18 and able to form a binding contract. Partners and End Users must comply with these Terms. End Users interact with Partner Agents under Sections 8 to 10.

2. Accounts

  • Provide accurate information and keep credentials secure. You are responsible for activity under your account.
  • Tell us promptly at info@usepersona.dev about any unauthorized use.
  • A Partner may use only a name, likeness, voice and brand it owns or has written permission to use. A Partner Agent must not present itself as a real person other than the Partner, and must disclose to End Users that they are talking to an AI.

3. Partner obligations

Each Partner agrees to:

  • describe its agent honestly and not misrepresent what the agent can do;
  • give End Users a privacy notice that covers its use of their data, and obtain any consent or opt-in required by law and by the rules of WhatsApp, Telegram or any other channel its agent uses, including before sending business-initiated messages;
  • honor End User requests to stop messaging, access or delete data;
  • not upload Content it has no right to use, or personal data it has no lawful basis to process;
  • not use the agent to give regulated advice (medical, legal, financial, insurance or tax) unless it holds any licenses required and clearly labels the limits of the agent;
  • review and remain responsible for what its agent says and does, including the instructions, pricing and offers it configures;
  • comply with applicable law, including consumer protection, advertising and data protection laws, Meta's WhatsApp Business Terms, Business Messaging Policy and Commerce Policy, and, where its agent uses Telegram, Telegram's Terms of Service and Bot Developer Terms, all of which apply to the Service and may change;
  • keep its API keys and webhook URLs secret, and remain responsible for the automations, webhooks, MCP servers and other tools it adds to its agent;
  • cooperate promptly with our reasonable requests about security, abuse and compliance.

4. Acceptable use

No one may use the Service to:

  • break the law or infringe others' rights, including intellectual property and privacy rights;
  • send spam, unsolicited bulk messages, or messages to people who have not opted in;
  • harass, threaten, defraud, deceive or impersonate any person or organization;
  • create or distribute malware, phishing, adult content involving minors, or content that promotes violence, self-harm or hate;
  • process special-category data (health, biometric, political, sexual-life data), government identifiers or payment card numbers through the agent, unless we have agreed to it in writing;
  • probe, scrape, reverse engineer or overload the Service, or bypass its limits or security;
  • use outputs to train a competing AI model, or resell the Service other than as a Partner Agent as intended;
  • run activities in high-risk areas where a failure could cause serious harm, such as emergency services or automated decisions about credit, employment or insurance eligibility.

We may investigate suspected violations and remove Content, suspend agents or accounts, or report unlawful activity to authorities.

5. Fees, credits and payments

  • Free to build and offer. At launch there is no subscription fee for Partners and no fee for End Users to use a Partner Agent.
  • Pricing set by Partners. Paid agents are not yet available. When they are, a Partner may set a price for its agent, including free, and payments from End Users to Partners will be processed through Persona and our payment processor, Stripe. Prices shown to End Users will include applicable fees as disclosed at checkout.
  • Our fees. We may charge a commission on transactions an agent executes, and usage-based or credit-based fees for AI and messaging usage, after at least 30 days' written notice to Partners. Changes do not apply to amounts already paid.
  • Paying us. When you buy a paid plan, usage or credits from us, you authorize us and our payment processor to charge your payment method for those fees and applicable taxes, and you confirm you have the right to use that payment method. Unless the law requires otherwise or we agree otherwise in writing, fees paid to Odinex are non-refundable.
  • Credits. Any promotional or prepaid credits have no cash value, are not transferable, and expire as stated when issued.
  • Meta and third-party charges. WhatsApp conversation charges and connected-service fees are set by those providers. Unless we state otherwise in writing, each Partner is responsible for them.
  • Taxes, payouts and refunds. Partners are responsible for their taxes and must complete payout verification. We may withhold or reverse payouts for fraud, chargebacks, refunds or breach. Refunds to End Users follow the Partner's stated policy and applicable law.

6. Content and licenses

  • Your Content. Partners keep ownership of the knowledge, instructions and brand assets they submit ("Partner Content"). End Users keep ownership of their messages and files ("End User Content").
  • License to us. You grant Odinex a limited, non-exclusive, worldwide license to host, process, transmit and display Content solely to provide, secure and support the Service. We may use Content to develop and improve the Service, including to evaluate, fine-tune and train AI models, as described in the Privacy Policy. You can opt out of model training going forward by emailing info@usepersona.dev; the opt-out applies only to model training, and we may still use Content flagged for safety review to detect harmful content and enforce our policies. We never use credentials stored in an agent's Vault, or information received from Google APIs, to train AI models.
  • Outputs. As between you and us, Partners own the outputs their agents generate for them, subject to third-party rights in underlying materials. Outputs may be similar for different users.
  • Our property. We own the Service, its software, models we build, and our trademarks. No rights are granted except as stated here.
  • Feedback. We may use feedback you give us without obligation to you.
  • Usage data. We may collect and use de-identified, aggregated usage data to run and improve the Service.

7. Privacy and data protection

Our Privacy Policy explains how we handle personal information and forms part of these Terms. Where we process personal data on behalf of a Partner, the following Data Processing Terms apply:

  • Roles. The Partner is the controller (or business) and Odinex is its processor (or service provider) for End User conversations and related data.
  • Instructions. We process that data only on the Partner's documented instructions, which are these Terms and the Partner's use of the Service (together with the model-training use in Section 6, subject to opt-out), unless law requires otherwise.
  • Confidentiality and security. Everyone authorized to process the data is bound by confidentiality. We apply the safeguards in our Privacy Policy.
  • Subprocessors. The Partner authorizes the subprocessors listed in our Privacy Policy. We bind them to equivalent obligations, remain liable for them, and give 14 days' notice of changes. The Partner may object on reasonable grounds.
  • Assistance. We help Partners respond to data subject requests, conduct impact assessments and handle regulators, as the law requires and taking into account the nature of the processing.
  • Breach. We notify the Partner without undue delay and within 72 hours of confirming a personal data breach.
  • Deletion and return. On termination we delete or return Partner and End User data within 30 days, unless the law requires us to keep it. Backups are overwritten within 35 days.
  • Audits. On reasonable notice, no more than once a year, we provide information needed to show compliance, such as security documentation and responses to a questionnaire. We do not currently hold SOC 2 or ISO 27001 certification.
  • Transfers. Cross-border transfers follow the Privacy Policy. Standard Contractual Clauses (Module 2, controller to processor, and the UK Addendum) are incorporated by reference where required. The Partner is the exporter and Odinex the importer.

The Partner is responsible for the lawfulness of the instructions it gives its agent and the notices it gives its End Users.

8. Agent actions, credentials and connected services

  • What agents can do. An agent can take actions ("Actions"), such as sending messages, using apps and services connected to it ("Connected Services"), browsing websites and filling in forms, running code, and creating or changing automations and webhooks. Some Actions run without anyone watching, for example on a schedule or when a webhook is called.
  • Authorization. When you ask an agent to do something, or as a Partner configure it to, you authorize it to take the Actions needed, within the permissions granted to it. You are responsible for making sure those Actions are allowed under the terms of each Connected Service and website involved.
  • Purchases and other steps that can't be undone. Agents are designed to stop before an order, payment or other step that can't be undone unless it was approved with the merchant, the item and the total or a maximum. When an agent buys from a third-party merchant for you, you are the buyer, the merchant's terms, prices and refund policy apply, and disputes about the purchase are between you and the merchant. We are not the seller or a party to that transaction, and we do not process that payment. Payments to Partners for their agents are covered in Section 5.
  • Mistakes and risk. Agents use AI and can make mistakes: they can misunderstand a request, act on wrong or incomplete information, or take an Action you did not intend. Actions may not be reversible, and records of Actions may not always be complete. Review what an agent does, and confirm important Actions yourself. You are responsible for the Actions you ask for or configure and for their consequences, except to the extent they result from our breach of these Terms.
  • Credentials and the Vault. You may store usernames, passwords, API keys and other secrets in an agent's Vault so it can sign in to or use a service. Store only credentials you have the right to use, and only where that service's terms allow an agent to use them. We store them encrypted and use them only to carry out tasks for that agent, including by passing them to the browser or code environment that needs them for a task. Signed-in browser sessions may be kept so the agent stays signed in later.
  • Hidden instructions. Websites, emails, documents and messages may contain content written to trick an AI agent, such as hidden instructions to share data or take an Action (sometimes called prompt injection). We use safeguards, but they cannot stop every attack or mistake. Give an agent only the access it needs, and disconnect services and remove credentials it no longer needs.
  • Tools Partners add. API keys, webhook URLs and MCP servers give access to an agent. Keep them secret and remove any you no longer use. An MCP server is a third-party service under Section 10.

9. End Users

  • A Partner Agent is an AI. It can make mistakes. Check important information, and do not rely on it for emergencies or professional advice.
  • When you ask an agent to act for you, Section 8 applies. You can disconnect any service, or tell the agent to stop, at any time. Review confirmations for actions that cost money or send messages in your name.
  • Purchases from a Partner are between you and that Partner. When paid agents are available, Persona will process the payment.
  • To stop hearing from an agent, block its number or bot in WhatsApp or Telegram, or ask the Partner to unlink your chat. To have your data deleted, email info@usepersona.dev with the number or username concerned.

10. Third-party services

The Service depends on third parties such as WhatsApp (Meta), Telegram, AI model providers, browser and code-execution providers, and services connected to an agent. We do not control them and are not responsible for their availability, content or terms. Their terms apply to your use of them. If Meta, Telegram or another provider restricts or ends access, the Service may change or become unavailable.

11. Beta features and availability

Some features are marked beta or early access and may change or be withdrawn. We aim for reliable service but do not guarantee uninterrupted or error-free operation.

12. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate access immediately if you breach these Terms, create legal, security or reputational risk, or if required by law or by a provider such as Meta. We may also end the Service or a feature on 30 days' notice. On termination, license rights end and Sections 6, 7 (deletion), 8 (responsibility for actions) and 13 to 16 survive.

13. Disclaimers

The Service and all outputs are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and accuracy of AI outputs. We do not warrant that agent actions will always succeed or be correct.

14. Limitation of liability

To the fullest extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue or data; and (b) Odinex's total liability for all claims relating to the Service is limited to the greater of the fees you paid to Odinex in the 12 months before the claim or US$100. These limits do not apply to liability that cannot be excluded by law, to fraud or willful misconduct, or to a party's indemnification obligations under Section 15.

15. Indemnification

Each Partner will defend and indemnify Odinex and its officers, employees and affiliates against third-party claims, and resulting losses and reasonable legal fees, arising from the Partner's Content, its agent's instructions and offers, its breach of these Terms or applicable law, or its use of a name, likeness or brand without rights. Odinex will promptly notify the Partner of a claim and allow it to control the defense, subject to our right to approve any settlement that imposes obligations on us.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in Delaware, and each party consents to their jurisdiction and venue, except that either party may seek urgent injunctive relief in any competent court. Before filing a claim, the parties will try in good faith to resolve it by written notice and discussion for 30 days. Consumers keep any mandatory rights they have under the law of their country of residence.

17. General

  • Changes. We may update these Terms. We will give Partners at least 14 days' notice of material changes by email or in the dashboard. Continued use after the effective date means acceptance. If you do not agree, stop using the Service.
  • Entire agreement. These Terms, the Privacy Policy and any order or addendum we sign are the entire agreement on this subject.
  • Assignment. You may not assign these Terms without our consent. We may assign them in a merger, financing or sale of assets.
  • Severability and waiver. If a provision is unenforceable, the rest stays in force. Not enforcing a right is not a waiver.
  • Force majeure. Neither party is liable for delay caused by events beyond its reasonable control, including provider or network outages.
  • Notices. We may notify you by email, in the dashboard, or through WhatsApp. You may contact us at the address below.
  • Export and sanctions. You will not use the Service in violation of export control or sanctions laws.
